3. Service Terms and Project Proposals

Project Proposals

All projects will begin with a detailed proposal outlining the scope, deliverables, timeline, and costs. This proposal must be signed and approved by you ('Client') before any work begins. The proposal is an integral part of these Terms.

Payment

Payment terms will be specified in the project proposal. Typically, projects require an upfront deposit, with subsequent payments tied to project milestones. All invoices are due upon receipt unless otherwise specified.

Communication

We will maintain regular communication through scheduled meetings and updates. You agree to provide timely feedback and necessary resources to facilitate the project's progress.

4. Client Responsibilities

As a Client, you agree to:

  • Provide clear, complete, and accurate information and materials required for the project.
  • Designate a single point of contact for decision-making.
  • Provide timely feedback and approvals to avoid project delays.
  • Comply with all payment obligations as outlined in the proposal.

5. Intellectual Property

Our Intellectual Property

We retain ownership of all pre-existing technologies, source code, and intellectual property used in the project. This includes our development frameworks, tools, and proprietary software.

Client Intellectual Property

Upon full and final payment, we grant you a perpetual, non-exclusive, worldwide license to use the final, delivered software for your business purposes. You retain ownership of all content, data, and materials you provide to us.

6. Limitations and Liability

Service Provision

We will perform the Services with reasonable skill and care. However, we do not warrant that the Services will be error-free or uninterrupted. We are not responsible for issues caused by third-party services or hosting environments.

Limitation of Liability

To the maximum extent permitted by law, our total liability for any claim arising out of or relating to these Terms or our Services is limited to the amount you paid us for the Services. We are not liable for any indirect, incidental, or consequential damages.

7. Modifications and Cancellations

Project Changes

Any changes to the project scope must be submitted in writing and may result in adjustments to the timeline and cost. We will provide a change order for your approval.

Cancellation

Either party may cancel the project with written notice. If you cancel, you agree to pay for all work completed up to the date of cancellation. We will deliver all completed work to you upon payment.

8. Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which our company is registered, without regard to its conflict of law provisions.

Amicable Resolution

We agree to first attempt to resolve any disputes amicably through good-faith negotiations. If a resolution cannot be reached, the dispute will be submitted to mediation or arbitration as agreed by both parties.

9. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any changes by posting the new Terms on our website. Your continued use of our Services after such changes constitutes your acceptance of the new Terms.
